Terms of Service
These Terms of Service ("Terms") govern your use of Lapsi ("Service"), operated by Verona Strategic LLC ("we," "us," or "our"). By creating an account, you agree to these Terms.
1. The Service
Lapsi monitors NYC building compliance deadlines — specifically elevator and boiler certificate expiration dates — using publicly available data from the NYC Open Data portal. We send you email and SMS alerts before your certificates expire so you can take action.
Lapsi is an alerting service, not a compliance guarantee. We provide timely reminders based on data available in the NYC Open Data portal. We do not guarantee that the underlying data is complete, current, or free of errors. You remain solely responsible for ensuring your building's compliance with all applicable NYC laws and regulations.
2. Eligibility
You must be at least 18 years old and legally authorized to enter into contracts to use Lapsi. By using the Service, you represent that these conditions are met.
3. Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@lapsi.io if you suspect unauthorized access.
4. Subscription and Billing
- Lapsi is billed at $49 per building per month, charged to your credit card via Stripe.
- New accounts receive a 14-day free trial. Your card will be charged at the end of the trial unless you cancel first.
- Subscriptions renew automatically each month. You may cancel at any time from your account settings.
- No refunds are issued for partial months. If you cancel, your access continues until the end of the current billing period.
- We reserve the right to change pricing with 30 days' advance notice.
5. Acceptable Use
You agree not to:
- Use the Service to monitor buildings you do not own or manage.
- Attempt to reverse engineer, scrape, or extract data from the Service at scale.
- Use the Service for any unlawful purpose.
6. Data Accuracy
Lapsi pulls certificate data from the NYC Open Data portal, which is maintained by the City of New York. This data may be delayed, incomplete, or incorrect. We update our records daily, but there may be a lag between when the City updates its records and when our system reflects those changes.
Do not rely solely on Lapsi alerts to manage compliance. We strongly recommend also checking the NYC Department of Buildings BIS portal directly for critical deadlines.
7. Limitation of Liability
To the maximum extent permitted by law, Lapsi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, fines, violations, or penalties arising from your use of — or inability to use — the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
9. Termination
You may terminate your account at any time by canceling your subscription. We may suspend or terminate your account if you violate these Terms, with or without notice.
10. SMS Communications
By providing your phone number and enabling SMS alerts, you consent to receive text messages from Lapsi related to your building compliance deadlines. Message frequency varies based on your certificate deadlines. Standard message and data rates may apply.
To opt out of SMS alerts at any time, reply STOP to any message or update your alert preferences in your account settings. For help, reply HELP or contact us at support@lapsi.io. Opting out of SMS does not cancel your subscription — email alerts will continue.
11. Intellectual Property
Lapsi and its underlying technology, design, code, and content are owned by Verona Strategic LLC and protected by applicable intellectual property laws. Your use of the Service does not grant you ownership of any part of it.
You own the data you provide to us (your account information and building data). By using the Service, you grant us a limited license to use that data solely to provide the Service to you.
If you submit suggestions, feedback, or feature requests, you grant us the right to use them without compensation or attribution.
12. Indemnification
You agree to defend, indemnify, and hold harmless Verona Strategic LLC and its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
13. Force Majeure
We are not liable for any failure or delay in providing the Service caused by circumstances beyond our reasonable control, including but not limited to: outages or data unavailability from the NYC Open Data portal or NYC Department of Buildings systems, internet failures, natural disasters, or acts of government.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York County, New York.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Continued use after changes constitutes acceptance of the updated Terms.
